Minutes of the 20th Annual General Meeting,
held on 8th November 2003Minutes of the twentieth Annual General Meeting of the South Tynedale Railway Preservation Society (limited by guarantee; company registration no. 1850832; registered charity no.514939), held on Saturday 8th November 2003 in the Masonic Hall, Alston, Cumbria. Twenty-one members were present.
Opening Remarks
The Chairman, Mr J. M. Sutton, opened the meeting at 13.30 hours and welcomed those attending.
Apologies
Apologies for absence were received from eleven members, including the Society�s Patron, Lord Inglewood.
Minutes of previous meeting
The minutes of the nineteenth Annual General Meeting of the incorporated Society, held on 9th November 2002, copies of which had been circulated to members in advance of the meeting, were adopted as a correct record.
Reports of Chairman, Officers and Heads of Departments
The written reports submitted by the following, copies of which had been circulated to members in advance of the meeting, were received:-

- Membership Secretary - Mrs K. A. Aveyard
- Infrastructure Department (Forum 1) - Mr R. N. Graham;
- Operating Department (Forum 2) - Mr R. A. Alderson;
- Engineering Department (Forum 3) - Mr E. A. Blackburn;
- Commercial Department (Forum 4) - Mr I. Ward.
The Chairman expressed thanks to Council Members, officers and other members of the Society for their work during the year.
No questions were raised relating to the content of the reports.
Treasurer�s Report
The Treasurer, Mr J. M. Ryan, presented the statutory reports and accounts for the year ending 31st March 2003 in respect of the Society and its subsidiary trading company, copies of which were circulated at the meeting. They had been presented to, and approved by, the Council of Management on 4th October 2003.
A financial summary had been issued to all members in advance of the meeting, with copies of the full statutory reports and accounts available to members on request.
A formal audit was not required under the current legislation for small companies, but the statutory reports and accounts had been prepared professionally by Dodd and Company.
The Treasurer gave the meeting a brief summary of the accounts, providing additional background to some of the items in the income and expenditure account and the related notes. He concluded his summary by commenting favourably on the events mentioned in the �Review of Activities� section.
No questions were raised in relation to the accounts.
Mr R. J. Harper expressed thanks to the Treasurer for his clear presentation.
The meeting agreed to accept the statutory reports and accounts for the year ended 31st March 2003.
The Treasurer then presented a short report on the first half of the current year, copies of which were circulated at the meeting. This made reference to: the reduction in passenger numbers resulting from the loss of the licence to stage �Friends of Thomas� events; comparison of actual and budget income from fares and shop sales; the Society�s financial reserves; and the Slaggyford Extension Appeal. The Treasurer also reported on the Halloween event that had been introduced this year.
No questions were raised relating to the financial summary for the first half of the current year, which the meeting agreed to accept.
Election of the Council of Management
Elections were not held for the posts of Chairman and Deputy Chairman, as Mr J. M. Sutton and Mr E. A. Blackburn respectively had one further year of their three-year terms of office to serve.
In accordance with Article 39(b), Mr R. A. Alderson and Mr R. N. Graham were retiring as ordinary members of Council and eligible for re-election.
In accordance with Article 43, a new nomination as ordinary member of Council had been made in respect of Mr R. J. Harper.
Although the number of candidates did not exceed the number of vacancies, a member�s request for a vote, by a show of hands, was accepted by the meeting. The option of a paper ballot was offered, but was not taken up. A separate vote was taken in respect of each of the other three candidates, and in each case the vote was unanimously in favour.
Mr Alderson, Mr Graham and Mr Harper were therefore declared elected.
Appointment of reporting accountants
The meeting was asked to consider re-appointment of Dodd & Company as reporting accountants. The Treasurer recommended their re-appointment and explained that a �250 increase in their fee for last year�s accounts was in respect of the preparation of a new register of fixed assets.
It was resolved to approve the re-appointment of Dodd & Company, at a remuneration to be agreed by the Council of Management.
Adoption of subscription rates
It was resolved to adopt the recommendation of the Council of Management, as referred to in the Membership Secretary�s report, that, for 2004, membership subscription rates should remain at their present levels, which were those adopted on 3rd November 2001, but that the situation should be reviewed next year when the costs of the new production arrangements for Tynedalesman were known.
Closing remarks
The Chairman closed the formal meeting at 14.04 hours.
